By signing up for the Guides.co service (“Service”) or any of the services of Mercury Grove Inc. (“Guides.co”) you are agreeing to be bound by the following terms and conditions (“Terms of Service”). Any new features or tools which are added to the current Service shall also be subject to the Terms of Service. You can review the current version of the Terms of Service at any time at https://guides.co/terms/. Guides.co reserves the right to update and change the Terms of Service by posting updates and changes to the Guides.co website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you.
You must read, agree with and accept all of the terms and conditions contained in this Terms of Service agreement, Guides.co’s Privacy Policy, and, if applicable, Data Processing Addendum (“DPA”), before you may become a Guides.co user.
Everyday language summaries are provided for your benefit and are not legally binding. Please read the “Terms of Service” for the complete picture of your legal requirements. By using Guides.co or any Guides.co services, you are agreeing to these terms. Be sure to occasionally check back for updates.
Don’t use Guides.co for anything illegal or transmit any harmful code. Remember that with any violation of these terms we will cancel your service.

The person signing up for the Guides.co Service is responsible for the account and is bound by these Terms of Service. If you signup on behalf of your employer, your employer owns the account and is also bound by our Terms of Service.
You must read, agree with and accept all of the terms and conditions contained in this User Agreement and the Privacy Policy before you may become a member of Guides.co.
The Guides.co service belongs to us. You are not allowed to steal or copy it or use it for any illegal or sketchy purpose.
Your content may be transferred unencrypted and may be altered, but credit card information is always encrypted.
We can modify, cancel or refuse the service at anytime.
In the event of an ownership dispute over a Guides.co account, we can freeze the account or transfer it to the rightful owner.
We are not responsible if you break the law, breach this agreement or go against the rights of a third party, especially if you get sued.
Service is “as is” so it may have errors or interruptions and we provide no warranties.
The total amount of our potential liability is limited to one month of your fees paid to us.
If Guides.co chooses not to enforce any of these provisions at any time, it does not mean that they give up that right later.
These terms of service make up the agreement that applies to you. This means that any previous agreements between you and Guides.co don’t apply if they conflict with these terms.
Anything you upload remains yours and your responsibility. If you want to remove your content, just delete your account.
For paid accounts, a valid credit card or other payment information is required and your information must be up to date. You will be billed every month or year based on your Billing Cycle and must ensure payment is made promptly. If you’re in Canada and exempt from Canadian taxes, let us know by giving us your original exemption certificate. Refunds are on a case-by-case basis.
To initiate a cancellation, do so through your account settings or email support@guides.co. Guides.co will respond with specific information regarding the cancellation process for your account. Once cancellation is confirmed, all your content will be permanently deleted. If you cancel in the middle of the month, you will have no further charges.
We may change or cancel your account at any time. Any fraud and we will suspend or cancel your account.
We may change or discontinue the service at anytime, without liability.
We are not responsible for third party tools so use them at your own risk. If you use them you agree that we do not provide a warranty, so get advice beforehand.
Guides.co has adopted the following general policy toward copyright infringement in accordance with the Digital Millennium Copyright Act (http://lcweb.loc.gov/copyright/legislation/dmca.pdf). It is Guides.co’s policy to (a) block access to or remove Content that it believes in good faith to be copyrighted material that has been illegally copied and distributed by any of its affiliates, content providers, or users; and (b) remove and discontinue service to repeat offenders.
If you believe that Content residing on or accessible through the Guides.co web site or Services infringes a copyright, please send a notice of copyright infringement containing the following information to the Designated Agent listed below:
It is Guides.co’s policy to notify the Content provider or user that an infringement notification has been received and that the Content will be removed at the end of 24 hours unless a counter-notice is supplied to Guides.co. If no legitimate counter-notice is supplied, the infringing content will be removed from the system.
If the Content provider, or user believes that the Content that was removed or to which access was disabled is either not infringing, or the Content provider or user believes that it has the right to post and use such Content from the copyright owner, the copyright owner’s agent, or pursuant to the law, the Content provider or user must send a counter-notice containing the following information to Guides.co’s Support Team listed below:
If a counter-notice is received by Guides.co’s Support Team, Guides.co will restore access to the Content and notify the original complaining party. The Content will then remain published unless the copyright owner files an action seeking a court order against the Content provider or user.

Guides.co respects intellectual property rights and you should too. If we receive a DMCA Notice, we may disable access or remove the allegedly infringing content from your website. If you don’t think the claim is valid, you can proceed with a counter notification.
